Penny QuickBooks End-User License Agreement

This End-User License Agreement (“Agreement”) governs use of the Penny QuickBooks integration (the “Application”) operated for Hot 2 Cold Air Conditioning (“Hot 2 Cold,” “we,” “our,” or “us”). The Application connects authorized Hot 2 Cold accounting workflows to QuickBooks Online through Intuit’s APIs.

1. Authorized Use

The Application is a private internal business tool for Hot 2 Cold employees, contractors, accountants, and authorized automation agents. It is not a public consumer product. You may use the Application only for legitimate Hot 2 Cold accounting, bookkeeping, reporting, reconciliation, and migration workflows.

2. License

Subject to this Agreement, Hot 2 Cold grants authorized users a limited, revocable, non-exclusive, non-transferable license to use the Application solely for internal Hot 2 Cold business purposes. No ownership rights are transferred.

3. Restrictions

You may not use the Application to access accounts or data you are not authorized to access, bypass Intuit or QuickBooks security controls, copy or resell the Application, reverse engineer it except where law allows, or use it for unlawful, fraudulent, or misleading activity.

4. Accounting Data

The Application may read QuickBooks Online company, customer, vendor, invoice, bill, payment, account, journal entry, and report data as authorized by Hot 2 Cold. Any write-capable workflow must be separately approved and should use draft or confirmation controls before posting accounting changes.

5. Third-Party Services

The Application depends on QuickBooks Online, Intuit Developer services, and related infrastructure. Use of those services is also subject to Intuit’s terms, policies, availability, and authorization controls.

6. No Professional Advice

The Application helps retrieve, organize, and prepare accounting information. It does not replace review by Hot 2 Cold management, bookkeepers, accountants, tax professionals, or legal counsel.

7. Security

Authorized users must protect credentials, tokens, reports, exports, and financial records. Do not share OAuth tokens, client secrets, customer data, financial data, or generated reports with unauthorized parties.

8. Suspension and Termination

Hot 2 Cold may suspend or terminate access at any time, including if access is no longer needed, credentials are compromised, a user leaves the company, or use violates this Agreement.

9. Disclaimer

The Application is provided for internal business use on an “as is” and “as available” basis. To the maximum extent permitted by law, Hot 2 Cold disclaims warranties of uninterrupted availability, error-free operation, and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Hot 2 Cold is not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Application. Users remain responsible for reviewing accounting outputs before relying on them.

11. Changes

Hot 2 Cold may update this Agreement as the Application, QuickBooks integration, or business requirements change. The effective date above will be updated when material changes are made.
